RMC director support

Practical support for RMC directors

Many blocks are run by a residents' management company owned by the leaseholders. The directors are volunteers with real legal duties. We take the administrative load off them so they can focus on decisions.

RMC director support

Board meetings, minutes, member records, filing reminders and practical support for resident directors.

In short

An RMC is a company whose members are the leaseholders and which is responsible for managing the building under the leases. We support its directors with meetings, minutes, decision papers, member records and filing reminders, as part of managing the building. The directors, and any company secretary they appoint, remain responsible for the company's statutory filings.

What an RMC is

A residents' management company (RMC) is set up so the leaseholders control the management of their building. Sometimes the RMC also owns the freehold (often called share of freehold); sometimes it is a party to the leases with a separate freeholder. Either way, the RMC is usually the body that appoints the managing agent, sets the budget and decides on works.

An RMC is different from a right to manage (RTM) company, which is created under statute to take over management from a landlord.

What the company must do

  • File an annual confirmation statement and annual accounts with Companies House.
  • Keep statutory registers, including the register of members, up to date as flats are sold.
  • Notify Companies House of changes to directors, the registered office and the registered email address.
  • Make sure directors complete Companies House identity verification.
  • Hold general meetings and AGMs where the articles require them, and keep minutes.

How we support directors

  • Preparing agendas and clear decision papers for board meetings and AGMs, and taking minutes.
  • Keeping a decision log and action tracker so the board can see what was agreed and what is outstanding.
  • A calendar of the company's filing and meeting deadlines, with reminders well in advance.
  • Preparing the building and service charge information the company's accountant needs for the annual accounts.
  • Recording changes of membership when flats are sold, so the directors always know who the members are.
  • Briefing new directors on how the building and the company work.

When a flat is sold

The buyer's solicitor will send a leasehold property enquiries form (commonly the LPE1). We provide the management information and make sure the change of membership is passed to the directors and recorded, so the RMC does not lose track of its own members.

What we do not do

EKIN does not act as company secretary, director or registered office for client companies, and does not form companies. Where an RMC wants a professional company secretary, we are happy to work alongside the one it appoints. Our guide to the duties of an RMC director explains what directors are responsible for.

Frequently asked questions

Does an RMC need a company secretary?

Private companies are not legally required to have one. If the RMC does not appoint a company secretary, the directors remain responsible for the filings and registers. We help them keep on top of the deadlines and paperwork.

Do RMCs have to hold an AGM?

Private companies are not required to by the Companies Act, but many RMC articles require one. We check your articles and help you run whatever meetings they require.

Can a leaseholder refuse to be a member of the RMC?

Where the lease requires membership, it usually passes with the flat on sale. We make sure the change is passed to the directors and recorded.
